 Tom Donnelly heads the firm’s Business Law practice, and focuses on the corporate, employment, contracting and construction law needs of businesses, trade and professional associations, tax-exempt public charities and private foundations, and government & construction contractors. Tom is also a member of the firm’s Litigation practice, and its Estate Planning & Wealth Preservation practice, and serves the litigation and asset protection needs of the firm’s business clients. Tom has acquired a broad skill set as corporate counsel, and his practice includes the ability to manage commercial transactions and negotiate, draft, and amend agreements required for asset transfers, formation of business entities and corporate governance, and in private placements of securities or through venture capital financing. As outside general counsel, Tom has routinely advised on software, technology and intellectual property licensing and sale, and has experience identifying emerging policy issues in corporate compliance, advertising, marketing and employment law. He has significant experience obtaining positive outcomes in all employment law related matters, including wage disputes, employment negotiations and mediations, release agreements and representation for all matters related to employment disputes. This extensive experience allows Tom to guide the firm’s clients in both the preparation and enforcement of restrictive employment agreements, franchise, consulting, contracting, teaming, and vendor services agreements.
Tom provides legal counsel on issues arising from actual or anticipated lawsuits and methods of anticipating and guarding against legal risks facing the firm’s business clients. He has experience serving as counsel in commercial litigation and alternative dispute resolution, and has represented clients at the trial and appellate levels, and before American Arbitration Association neutrals.
